General Terms and Conditions of Sale
Acceptance
Unless otherwise agreed in writing, DE Synthetics (“Seller”) will provide the chemical and/or service and/or consultation (together “Product”) requested by the buyer (“Buyer”) subject to the general terms and conditions as set out below. Buyer’s terms and conditions shall not apply. The placing of an order in writing by e-mail, fax, or mail constitutes acceptance of these terms and conditions.
Prices
Prices are in Canadian Dollars and exclude taxes, duties, shipping and handling. Written quotations are valid for 30 days. Prices of advertised products are subject to change without notice, but will be confirmed when Buyer places an order.
Payment Terms
Payment is due in full 30 days from the date of Product dispatch. Invoices 30 days past due are subject to a 2% late charge per month on the unpaid balance. Seller reserves the right to request advance partial payment in certain cases, such as custom synthesis and full-time equivalent (FTE) contracts with payment schedules to be determined case by case. Payment shall be received in Canadian dollars. Buyer is responsible for any bank charges, payment of all taxes, duties, excise, customs, inspection, testing fees and any other charges imposed by government authority.
Shipping
If requested and whenever possible, Seller will ship by the method requested by the Buyer, but reserves the right to ship via the most efficient means available. Product is sold FOB shipping point with title passing at that point. Insurance is the responsibility of the Buyer.
Hazards
Chemicals have the potential to be hazardous and should be handled only by qualified individuals trained in laboratory procedures. Information on the possible hazards is not available for many chemicals and the absence of warning must not be interpreted as an indication of safety. Product provided by Seller are not for administration to humans, but are intended for research purposes only. The responsibility for the proper handling, storage, and disposal of any Product lies with the Buyer.
Limitation of Liability
In no event shall Seller be held liable for any losses, damages, or expenses whatsoever incurred by the Buyer and howsoever caused from the use of any Product provided by Seller. The Buyer assumes all risks and liabilities as a result of using said Product whether used singly or in combination with other products.
Warranty
Seller warrants Product to be of the stated description and quality at the time of dispatch. This warranty is exclusive, and Seller makes no other warranty, expressed or implied, including any implied warranty of merchantability or fitness for any particular purpose. If any Product is proven to not conform to the stated description or quality then Seller’s sole and exclusive liability and Buyer’s exclusive remedy shall be the replacement of such Product without charge or refund of the purchase price, upon the return of such Product and only in accordance with Seller’s instruction. Buyer must notify Seller within 10 days of receiving Product or such Product will be deemed to have been received and acceptable. In the unlikely event that a custom synthesis request is not completed the Seller will forfeit the remaining balance owing, but will not reimburse the advance payment. The Seller will make every reasonable effort to complete the request, but due to the experimental nature of research will not be liable for any loss due to the irreproducibility of external experimental procedures. Seller shall not be liable for any incidental, consequential, or contingent damages of any sale.
Patents
The responsibility of all patent considerations lies solely with the Buyer and any patent infringement issue and resulting liability is solely at Buyer’s risk. Providing any Product does not imply license to operate under or to infringe any patent. Product covered by valid patents is solely for R&D use and are offered under research exemption in accordance with:
35 USC 271(e)+A13(1) in the U.S.
Sections 55.2(1) and 55.2(6) and other common law exemptions of Canadian patent law
